Change company directors, shareholders or beneficial owners

Log in to BRS on eCitizen (brsv2.ecitizen.go.ke), open your company, click Maintain Company and choose the change you need, then upload the signed forms and pay. Changing directors' details costs KSh 550, and beneficial ownership updates are free but must be filed within 14 days of the change.

What you need
- New director: CR6, notice of appointment of directors
- Director leaving: CR9, notice of cessation of office
- Change in a director's details: CR7 (CR8 for a change of the director's residential address)
- Share transfer: the assessed, signed, witnessed and stamped share transfer form (as PDF) with stamp duty receipts
- Beneficial owner change: the BOF form, downloaded from the portal, signed and scanned
Steps
- Log in to your account at brsv2.ecitizen.go.ke.
- Open your company and click Maintain Company.
- Choose the change you need, for example officials (directors or shareholders), and fill in the details.
- For beneficial owners, choose Update Beneficial Ownership Information, add or remove owners, then download the BOF, sign, scan and upload it.
- Pay for the service and submit.
Watch out
- File any change to beneficial owners within 14 days. Late filing attracts a fine of KSh 2,000 for the company and each officer in default, plus daily penalties.
- For a share transfer, pay stamp duty and get the transfer form assessed and franked at the Ministry of Lands first.
- Only a director, director-shareholder or appointed company secretary can link the company to their eCitizen account and file changes.
Who can apply
- All companies registered under the Companies Act. They must keep their beneficial ownership register filed with the Registrar.
