File or update your company's beneficial ownership information (BOF)

Log in to BRS on eCitizen (brsv2.ecitizen.go.ke), open your company, choose Maintain Company > Update Beneficial Ownership Information, then upload the signed BOF form. It's free, and any change must be filed within 14 days.

What you need
- The BOF form generated by the system, downloaded, signed and scanned
- Details of each beneficial owner you are adding or updating
Steps
- Log in at brsv2.ecitizen.go.ke, pick your personal account and open Companies Registry Services.
- Under Businesses, click View on the company, open the Maintain Company tab and choose Update Beneficial Ownership Information, then Apply.
- Pick the type of change, then add new beneficial owners, mark those who have left, or update existing details.
- Download the BOF, sign it, scan it and upload it.
- Tick the confirmation box and click Complete to submit.
Watch out
- A beneficial owner is a person holding at least 10% of the shares or votes, directly or indirectly, or who can appoint or remove a director, or who has significant influence or control. Meeting any one test counts.
- Not filing is an offence: the company and each officer in default can be fined up to KSh 500,000.
Who can apply
- Every company registered under the Companies Act must file a copy of its beneficial ownership register with the Registrar.
