Register an LLP on BRS eCitizen: give at least 3 name options and your partners' and manager's details, sign and upload the LLP-1 form, and pay KSh 25,050. An ordinary partnership registers as a business name instead, for KSh 950.

- Where
- Online on the BRS portal on eCitizen
What you need
- Full names, ID numbers, emails, physical addresses and occupations of every partner and manager
- Passport photos of all partners and managers
- The business address: email, phone number and physical address
- For a law firm: a letter of no objection from LSK
- The system-generated LLP-1 form, signed, scanned and uploaded
Steps
- Log in to BRS on eCitizen (brsv2.ecitizen.go.ke), open Companies Registry Services and choose Registration of LLP. For an ordinary partnership, choose Registration of a Business Name instead.
- Enter at least 3 name options and the nature of the business.
- Add the business address and the details and passport photos of every partner and manager.
- Download the LLP-1 form the system generates, sign it, scan it and upload it.
- Pay KSh 25,050 and submit. Once approved, the LLP gets a certificate and becomes a legal entity.
Watch out
- The name must end with "LLP" or "Limited Liability Partnership".
- An ordinary partnership registered as a business name is not a legal entity, so the owners are personally liable for its debts. An LLP is separate from its partners.
- After registering, an LLP must file annual returns every year (this replaced the old solvency declaration).
Who can apply
- LLP: at least 2 partners and at least 1 manager. The manager can also be a partner.
- LLPs suit professional firms such as advocates and certified secretaries.
- Ordinary partnership: two or more partners trading under a name other than all their own surnames register it as a business name.
- Limited partnership (LP): at least one general partner and one limited partner.
