What you need

  • Business name: Form BN 6, signed, scanned and uploaded
  • Company: Form CR 18 (application to be struck off), signed by the director(s)
  • Company: the company resolution on Form CR 19

Steps

  1. Business name: log in to brsv2.ecitizen.go.ke with your personal account, open Businesses, pick the business, click Maintain and choose Cessation of Business Name.
  2. Choose closure, then download Form BN 6, sign it, scan and upload it, and pay KSh 250 to submit for review.
  3. Company: the directors sign Form CR 18 with the CR 19 resolution, then one director lodges it on eCitizen and pays the fee.
  4. Within 7 days, send a copy to the shareholders, creditors, employees, pension fund trustees and any director who did not sign.
  5. BRS publishes a notice in the Kenya Gazette. If no one objects, the company is struck off at least 3 months later and dissolved by a further notice.

Watch out

  • A company can't apply if it traded, changed its name or sold trading stock in the last 3 months.
  • Bring all your statutory filings up to date before you apply.
  • Once the company is dissolved its bank account is frozen and any money left goes to the State, so clear the account first.

Who can apply

  • Business name: the owner(s), when they decide to stop the business.
  • Company: one that is dormant or no longer trading and has no assets or debts, or whose shareholders no longer want it.
  • Only the company can apply, through its directors (or a majority of them).
